1. Acceptance of These Terms
These Terms and Conditions (“Terms”) form a binding agreement between you and KiboRise, operated by Chimezie Victor, governing your access to and use of https://kiborise.com.ng and all related content, tools, calculators and services (together, the “Site”). By accessing or using the Site, you confirm that you have read, understood and agreed to these Terms, our Privacy Policy and our Financial Disclaimer. If you do not agree, you must stop using the site.
You must be at least 18 years old, and legally capable of entering a binding agreement, to use the Site.
2. The Nature of the Service
KiboRise is an independent publication devoted to financial education. We publish guides, explainers, research summaries and calculators concerning the Nigerian capital market, personal finance and long-term asset evaluation.
KiboRise is not a licensed investment adviser, broker-dealer, fund manager, bank or any other regulated capital market operator. We do not give personalised advice, manage money, execute transactions, or recommend that any person buy, sell or hold any security. Nothing on the Site creates an advisory, fiduciary, client or professional relationship between you and KiboRise.
3. Standards of Conduct
You agree to use the Site lawfully, respectfully and in good faith. You must not:
- Violate any applicable law or regulation of Nigeria or any other relevant jurisdiction, including the Cybercrimes (Prohibition, Prevention, etc.) Act;
- Post or transmit content that is defamatory, harassing, threatening, discriminatory, obscene or that incites violence or hatred;
- Impersonate any person or misrepresent your affiliation with any person or organisation;
- Post spam, unsolicited promotions, referral links, or advertisements, including solicitations for trading signals, “get-rich” schemes, unregistered investment offers, pyramid or Ponzi arrangements, or any unlicensed financial service;
- Present yourself in comments as a licensed adviser, or offer or solicit personalised investment advice or specific buy or sell recommendations through the Site;
- Publish personal, confidential or financial information of yourself or others, including account numbers, BVN, NIN or login credentials;
- Introduce malware, or attempt to probe, scan, overload, disrupt or gain unauthorised access to the Site, its servers or its users’ accounts;
- Circumvent or interfere with security, access or anti-automation measures; or
- Use the Site in any way that could damage its reputation, functionality or the experience of other users.
We may, at our discretion and without liability, edit, refuse or remove content and suspend or block access where we reasonably believe these Terms have been breached.
4. Comments and User Contributions
You retain ownership of the comments you submit. By posting, you grant KiboRise a worldwide, non-exclusive, royalty-free, perpetual licence to host, display, reproduce and moderate that content in connection with operating the Site. You confirm that you own or have the right to submit it, that it is accurate to the best of your knowledge, and that it does not infringe any third-party right. Opinions expressed by commenters are theirs alone and are not endorsed by KiboRise.
5. Intellectual Property
Ownership. All original content on the Site is owned by KiboRise or its licensors and is protected by the Copyright Act 2022 of Nigeria and applicable international copyright treaties. This includes, without limitation:
- Articles, guides, explainers, research summaries, data compilations and editorial analysis;
- Calculators, formulas, calculation logic, scripts and other software code that power our tools;
- Visual designs, including card layouts, graphics, icons, charts, infographics, page designs and the overall look and feel of the Site; and
- The KiboRise name, logo, slogans and related branding (“Marks”).
Limited licence to you. We grant you a personal, non-exclusive, non-transferable, revocable licence to view the Site and to use our calculators for your own personal, non-commercial educational purposes.
Prohibited uses. Without our prior written permission, you must not:
- Copy, reproduce, republish, translate, adapt, distribute, sell, sublicense or publicly display any part of the Site’s content, in whole or in substantial part;
- Use automated means, including bots, crawlers, spiders, scrapers, headless browsers or any data-extraction tool, to access, copy or harvest content, data or code from the Site, except for standard search-engine indexing that complies with our robots.txt directives;
- Use content from the Site to train, fine-tune, benchmark or supply data to any machine-learning or artificial-intelligence model, or to build datasets or competing databases, and you must not conduct text-and-data mining on it;
- View-source, copy, decompile, reverse-engineer, extract or reuse the code, logic or formulas of our calculators or embed or “frame” our tools on another site;
- Reproduce or imitate our card designs, layouts, graphics or visual identity in a manner likely to cause confusion or to pass off another product as ours;
- Remove or alter copyright notices, attributions or watermarks; or
- Use our Marks without our written consent.
Permitted quotation. You may quote brief excerpts of our articles for commentary, criticism, teaching or news reporting, provided that the quotation is fair and proportionate, is accompanied by clear attribution to “KiboRise” and a working link to the original page, and does not replace the need to read the original. Republishing a full article, or the majority of it, is not permitted.

6. Third-Party Content, Advertising and Links
The Site displays third-party advertisements and links to third-party websites, including regulators, exchanges, brokers and financial institutions. These are provided for convenience. Their presence is not an endorsement, and KiboRise does not control or accept responsibility for their content, products, services, policies or availability. Any dealings you have with third parties are solely between you and them. We will clearly label any sponsored content or affiliate relationship that we introduce in future.
7. Calculators and Tools
Our calculators produce illustrative outputs based on the inputs and assumptions you provide. They are not forecasts, quotations, offers or guarantees. Actual outcomes will differ. You are responsible for the inputs you enter and for verifying results against official sources and professional advice before making any decision.
8. No Warranties
The Site and all content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of accuracy, completeness, timeliness, merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation. Markets, rates and regulations change constantly. Although we work diligently to keep content accurate and current, we do not warrant that any content is free of error or omission.
9. Limitation of Liability
To the maximum extent permitted by the laws of the Federal Republic of Nigeria, KiboRise, its owner, contributors and service providers shall not be liable for any direct, indirect, incidental, consequential, special or punitive loss or damage, including loss of capital, profits, investment opportunity, data or goodwill, arising from or connected with your access to or use of the Site, your reliance on any content or calculator, or any investment or financial decision you make. Where liability cannot lawfully be excluded, it is limited to the greatest extent the law allows. Nothing in these Terms excludes liability that cannot be excluded under applicable law, such as liability for fraud or wilful misconduct.
10. Indemnity
You agree to indemnify and hold harmless KiboRise and its owner from any claim, loss, liability or expense (including reasonable legal fees) arising from your breach of these Terms, your unlawful use of the Site, or the content you submit.
11. Intellectual Property Complaints and Takedown Notices
If you believe content on the Site infringes your copyright or other rights, send a notice through our Contact page marked “Legal Notice”. Include: your name and contact details; a description of the protected work; the exact URL of the allegedly infringing material; a statement that you hold a good-faith belief that the use is unauthorised; a statement, made in good faith, that the information in your notice is accurate and that you are the rights holder or authorised to act for them; and your signature. We review valid notices promptly and may remove or disable access to the material while we investigate.
12. Suspension and Termination
We may suspend or restrict your access to the Site at any time, without notice, if we reasonably believe you have breached these Terms or applicable law. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnity and governing law, will survive.
13. Governing Law and Dispute Resolution
These Terms, and any dispute or claim arising out of or in connection with them or the Site (including non-contractual disputes), are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
The parties shall first attempt in good faith to resolve any dispute through written negotiation for a period of thirty (30) days from the date of written notice of the dispute. If unresolved, the dispute may be referred to mediation or arbitration under the Arbitration and Mediation Act 2023 of Nigeria, or, at the election of the party bringing the claim, submitted to the exclusive jurisdiction of the courts of competent jurisdiction in the Federal Republic of Nigeria. Nothing in this clause prevents either party from seeking urgent injunctive relief from a Nigerian court to protect intellectual property or confidential information.
14. General Provisions
- Severability. If any provision is held unenforceable, the remainder remains in full effect.
- No waiver. A failure to enforce a right is not a waiver of it.
- Entire agreement. These Terms, the Privacy Policy and the Financial Disclaimer form the entire agreement between you and KiboRise regarding the Site.
- Assignment. You may not assign your rights under these Terms. We may assign ours in connection with a sale or reorganisation of KiboRise.
- Force majeure. We are not liable for failure or delay caused by events beyond our reasonable control.
- Changes. We may revise these Terms from time to time. The “Last updated” date shows the current version, and continued use of the Site after a change constitutes acceptance.
